[ARCHIVED] Public Hearing - Hospital Facilities Revenue Bonds

NOTICE OF PUBLIC HEARING


     Notice is hereby given that on April 16, 2024, a public hearing will be held in the City Council Chambers in the City Building, One Donham Plaza, Middletown, Ohio 45042, at the City Council meeting commencing at 5:30 p.m. with respect to the proposed issuance by the City of Middletown, Ohio (the “Issuer”) of one or more series of Hospital Facilities Revenue Bonds, Series 2024A (Premier Health Partners Obligated Group) (the “Bonds”) in an aggregate principal amount not to exceed $90,000,000 pursuant to Chapter 140, Ohio Revised Code, as amended (the “Act”) in connection with a plan of finance by Atrium Medical Center, an Ohio nonprofit corporation (the “Hospital”), and a “nonprofit hospital agency” as defined in the Act to refinance the hospital facilities described below.  The proceeds of the Bonds together with certain other funds available to the Hospital will be used to (i) refund and/or purchase and cancellation the outstanding principal amount of the Issuer’s $82,940,000 original principal amount Hospital Facilities Revenue Bonds, Series 2016A (Premier Health Partners Obligated Group) (the “Series 2016A Bonds”) and (ii) pay certain costs related to the issuance of the Bonds and the refunding of the Series 2016A Bonds, all as permitted under the Act.

     The proceeds of the Series 2016A Bonds were used to refund certain bonds, the proceeds of which were used to finance or refinance the cost of acquiring, constructing, and equipping certain of the hospital facilities.

     All of the improvements refinanced by the Hospital with the proceeds of the Bonds are or will be located on land owned or leased by the Hospital on its campus located on or about One Medical Center Drive, Middletown, Ohio 45005.  All of the facilities to be refinanced with the proceeds of the Bonds are or will be owned, operated or managed by the Hospital.

     THE BONDS SHALL NOT CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OR THE TAXING POWER OF THE ISSUER, THE STATE OF OHIO OR ANY OTHER POLITICAL SUBDIVISION OF THE STATE OF OHIO.

     This public hearing is required by Section 147(f) of the Internal Revenue Code of 1986, as amended.  Persons wishing to express their views on the proposed Bond issuance may appear at the hearing or may submit their views in writing.  Any written submission should be sent to the City Council of the City of Middletown, Ohio at the City Building, One Donham Plaza, Middletown, Ohio 45042, Attention:  Clerk of Council and be clearly marked “The City of Middletown, Ohio, Hospital Facilities Revenue Bonds, Series 2024A (Premier Health Partners Obligated Group)”.  Written submissions should be mailed in sufficient time to be received before 5:30 p.m. April 16, 2024.
